Contract Review Before & After You Accept an Offer
A purchase agreement controls far more than the sale price. We review and prepare real estate purchase contracts, explain the legal effect of their terms, and identify language that may need attention before a seller signs.
Depending on the proposed agreement, our review can address:
- Price and Closing Date: The amount to be paid, the scheduled closing date, and conditions tied to the transaction timeline.
- Contingencies and Earnest Money: Financing, appraisal, inspection, and other provisions that may determine whether the transaction proceeds.
- Repairs and Included Property: Obligations concerning requested work, fixtures, appliances, and other items included in the sale.
- Default and Possession: The parties’ rights if an obligation isn’t met and the agreed time for delivering possession.
Timing matters. A concern found before signing may be addressed through revised language or negotiation. Once the contract is binding, the available options depend on its terms and the circumstances. Seller Representation From Contract Through Closing
Our real estate services include contract review, title examination, title insurance matters, coordination with transaction professionals, and closing representation. A title examination reviews public records for ownership interests, liens, and other encumbrances that may affect the property.
Seller-side legal work can involve reviewing title information, addressing identified concerns, and coordinating with the buyer’s closing attorney, lender, real estate agents, and other participants. We also review the legal documents connected with the closing and transfer. Once closing requirements are met, transaction documents may be submitted to the Charleston County Register of Deeds, which records deeds, mortgages, liens, and other documents affecting local real property.
How Attorney-Supervised Closings Work in South Carolina
South Carolina requires attorney supervision of real estate closings. A closing attorney’s responsibilities may include reviewing title, addressing liens, overseeing documents and funds, and handling recording. The exact responsibilities depend on the attorney’s role and the transaction’s structure.
Representing the seller doesn’t automatically make the seller’s attorney counsel for the buyer. When we represent only the seller, we make that role clear and don’t provide an unrepresented buyer with legal advice about the transaction. If one attorney is asked to represent multiple parties, potential conflicts of interest and each party’s right to separate counsel may need to be addressed.
Real estate agents and attorneys also serve different roles. An agent handles brokerage matters such as marketing and presenting offers. We advise on legal rights, contractual obligations, closing documents, and transaction risks.
